Strategy Review and Acquisition Plan Development

Kinsella Group will conduct a thorough review of a client’s current corporate strategy, and contribute ideas as to how the strategy can be enhanced through the selective acquisition of U.S.-based companies or assets.

From these discussions and analysis, Kinsella Group will help develop a client-driven acquisition focus and plan. This Acquisition Plan will be designed to increase enterprise value, financial condition and global profitability by:
Identifying significant opportunities to leverage the client’s production and marketing strengths, by focusing on new markets for the client’s products and services in the U.S. and beyond, and by exploiting the acquisition target’s established brands, reputation, distribution channels, customer loyalties, and management and technological strengths.

Creating opportunities for the client to export management, marketing and technological advances back to China, to enhance the client’s production and marketing efforts in the domestic Chinese and other Asian markets.
Execution of the Acquisition Plan

Kinsella Group will conduct a thorough search to identify and make contact with North American businesses that fit the established acquisition target criteria, including companies that are not actively soliciting buyers. This will include:
Evaluating target companies, including researching products sold, sales processes, competitive forces and business capabilities, with the assistance of Kinsella Group’s network, industry contacts and captive resources.

Determining a fair market price for the target companies.

Advising in negotiation of terms and transaction structure, in order to minimize client risk and ensure the preservation of seller expertise and customer relationships.

Coordinating due diligence, including recommending and assisting corporate counsel in closing the transaction in compliance with the laws of the United States or Canada, as appropriate.

Providing assistance in evaluating U.S. Committee on Foreign Investment in the United States (CFIUS) sensitivities.

Acquisition Financing

Kinsella Group will assist Chinese clients in sourcing debt and/or equity as required, including senior debt, subordinated debt and institutional equity partners, among other options. As necessary, Kinsella Group will help the client structure the transaction to enable the preservation of cash for use in additional transactions.

Fees for Services
Each client is unique. As a result, strategies, timelines and fees are dependent upon each client’s objectives. Kinsella Group will develop a specific proposal that will outline the services to be provided and their associated fees. All fees will be payable in U.S. or Canadian dollars, to be paid through and guaranteed by the client’s existing North American subsidiary.
